Any director, officer, employee, or agent of The Organization who has been or is threatened to be made "a party" to any threatened, pending, or completed action, suit, or proceedings, shall be indemnified for all expenses and liabilities actually and reasonably incurred in connection therewith to the extent permitted by Chapter 8 of the （この団体がある地域の名前）Business Organizations Code, as amended.

ここでいう　"a party" (本来" 　"はありません。目立たせるためにつけました）とThe Society（この団体）との関係が分かりません。
