Source text - English 1. DURATION
1.1 The present agreement shall become in force at the date of the signature by the last of the two parties for one year.
1.2 It shall be automatically extended each year for successive one year periods.
1.3 Each party may notify the other at least three months prior written notice of termination sent by registered letter with acknowledgement of receipt, its intention to terminate the agreement.
2. SOFTWARE SUPPLY
2.1 CUSTOMER and SUPPLIER are both professionals in the area of Information Technologies.
2.2 CUSTOMER is supplied with open source software (hereinafter SDK), by SUPPLIER on a free basis in order to develop a software from the SDK basis, in which SDK is integrated.
2.3 SUPPLIER hereby grants to CUSTOMER a personal, non-transferable, non-assignable and non-exclusive licence to use SDK and its documentation, in order to develop software on an SDK basis, and integrate SDK to the software that may be marketed by CUSTOMER.
2.4 SUPPLIER will remain the owner of all Intellectual Property Rights and title in SDK, the documentation, the SUPPLIER Confidential Information or other items that SUPPLIER supplies to CUSTOMER pursuant to this agreement.
2.5 The right to use, is granted free of charge.
2.6 SDK will be delivered on an adequate medium.
2.7 The documentation is supplied in English.
3. LIABILITY & WARRANTY
3.1 CUSTOMER will inform its licensees that its software has been developed in an Open Source environment.
3.2 CUSTOMER will inform its licensees that SUPPLIER shall not be held responsible for any difficulty arising out of the use of SDK and open source code.
3.3 CUSTOMER will also inform its licensees that SUPPLIER gives no warranty to CUSTOMER concerning SDK and open source code.
3.4 SUPPLIER and its representatives will not be liable for any incidental, indirect, special, exemplary or consequential damages, including but not limited to, damages or costs incurred as a result of loss of time, loss of savings, loss of data, loss of revenues and/or profits, or loss of goodwill, whether foreseeable or unforeseeable, that may arise out of or in connection with this agreement, including, but not limited to, damages or costs resulting from the use of or inability to use SDK or documentation.
3.5 SUPPLIER grants no warranty for SDK and open source code even in case of infringement of copyright claim.

1.1 La présente entente prendra effet à partir de la date de signature de la part de la dernière des deux parties, et ce, pour une durée d’un an.
1.2 Elle sera renouvelée automatiquement à chaque année pour des périodes consécutives d’un an.
1.3 Chaque partie peut informer l’autre de son intention de mettre fin à l’entente par l’envoi d’une lettre enregistrée avec accusé de réception, au minimum trois mois avant la fin de l'entente.
2. FOURNITURE DE LOGICIELS
2.1 Le CLIENT et le FOURNISSEUR sont tous deux professionnels du domaine des Technologies de l'Information.
2.2 Le FOURNISSEUR donne gratuitement au CLIENT des logiciels libres (appelés ci-après SDK) afin de développer un logiciel à partir de la base SDK, dans lequel SDK sera intégré.
2.3 Le FOURNISSEUR accorde au client une licence personnelle incommutable, incessible et non exclusive d’utilisation de SDK et de ses documents, afin de développer un logiciel de base SDK et d’intégrer SDK au logiciel qui pourra ensuite être commercialisé par le CLIENT.
2.4 Le FOURNISSEUR demeurera propriétaire de tous les Droits de Propriété Intellectuelle et titres SDK, des documents, de l’Information Confidentielle du FOURNISSEUR et des autres articles fournis au CLIENT par le FOURNISSEUR en vertu du présent accord.
2.5 Les droits d’utilisation sont accordés gratuitement.
2.6 SDK sera livré sur un medium approprié.
2.7 Les documents seront fournis en anglais.
3. RESPONSABILITÉ ET GARANTIE
3.1 Le CLIENT informera ses bénéficiaires licenciés que ses logiciels ont été développés au sein d’un environnement de source libre.
3.2 Le CLIENT informera ses bénéficiaires licenciés que le fournisseur ne sera tenu responsable de toute difficulté découlant de l’utilisation de SDK et de code source libre.
3.3 Le CLIENT informera ses bénéficiaires licenciés que le FOURNISSEUR ne donne aucune garantie au CLIENT quant à SDK et au code source libre.
3.4 Le FOURNISSEUR et ses représentants ne seront tenus responsables d’aucun dommage et intérêt indirect, accidentel, spécial, exemplaire ou conséquenciel, incluant, mais non limités aux dommages et frais encourus suite à des pertes de temps, pertes d‘économies, pertes de données, pertes de revenus et/ou profits ou perte de la cote d’estime, soit prévisibles ou imprévisibles, pouvant découler de, ou étant reliés à la présente entente, incluant, mais non limités aux dommages et frais découlant de l’utilisation ou de l’inhabilité d’utiliser SDK ou ses documents..
3.5 Le FOURNISSEUR ne garantit pas SDK et le code source libre, et ce, même dans l’éventualité d’une violation des revendications des droits d’auteur.
