German term

der Gesellschaft zweckfremde Verwaltungsauslagen

Homework / test German to English Law/Patents Law: Contract(s) Articles and Memorandum of Association
Es darf keine Person durch *der Gesellschaft zweckfremde Verwaltungsauslagen* oder durch unverhältnismäßig hohe Vergütungen begünstigt werden.

No person shall benefit from any reimbursement of administrative expenses that do not serve to achieve the Company’s objectives or any disproportionately high remuneration.

What do you say to this translation? Does it work in your opinion?

This passage is taken from the "Gesellschaftsvertrag" (Articles and Memorandum of Association) of an Austrian company.

Many thanks in advance for your help!

"der Gesellschaft zweckfremde Verwaltungsauslagen" is the term I am concerned about (especially the word "zweckfremd"). I just thought I might as well post the entire sentence, even if I only asked about this term. Sorry, my mistake.

counter to the company goals / purpose

Entire sentence:
No person may be renumerated through "administrative expenses which are counter to the goals (or purpose) of the company" or through disproportionately high compensation.

It just flows a little bit better than your original, but you were close!

4 KudoZ points awarded for this answer. Comment: "Thank you very much!"

inappropriate to the purpose of the company

or even just "inappropriate to the company"

In my view the suggested translation is along the right lines but somewhat over-interpreted - if they meant it to be with "achieving the company's objectives" there would be something about Unternehmensziele in the German.
