I don't often get such a huge chunk which sounds like gobbledy-gook to me. I could understand my confusion if it were 40°C outside, so it must be turning 57 which has befuddled my mind, or else it's extremely complex for anyone ...

Explanation:
The shareholder who wishes to exercise the right of withdrawal must provide formal notice by registered letter RRR addressed to the Company, indicating, inter alia, the details of the depositing [i.e. registration], of the [shareholder's] certificate of membership, in the centralized management system for the shares (in book entry form), regarding which shares the shareholder is seeking withdrawal via an authorized intermediary, subject to an "unavailability restriction" [still in effect] respecting withdrawal.
---
Two problems that the Asker may be able to help with:
1. certificazione di appartenenza = Certificate of Membership. ((I don't understand why the shareholder's membership is relevant evidence. The shareholder's membership is probably a matter of general knowledge amoung all shareholders. I would think that the only relevant evidence that the shareholder needs is evidence of registration of the shares.))
2. indisponibilità finalizzato al recesso = unavailability respecting withdrawal. ((If the shares are restricted as to withdrawal, obviously some condition precedent must occur in order to render them available respecting withdrawal. The author does not disclose what this condition is.))

("Withdrawal" here does not mean withdrawal of the shares; it means withdrawal of the Shareholder as a Shareholder (or "Member") of the Company.)

I think you could say something like this - it's quite a mouthful!

the details of deposit of the certificate of inclusion in the uncertificated securities centralised management system for the shares for which the shareholder is exercising the withdrawal, [deposited] at a licensed intermediary, subject to a non-disposal restriction for the purpose of withdrawal.

I have used the Kudoz entry for 'regime di dematerializzazione' here; the reason why 'deposited' is in hard brackets is that the overall phrase seems to be a regular part of articles of association in Italy and this is what your phrase means, even if not included in the source; I have used the last part of Alison's suggestion as the 'vincolo di indisponibilità' part refers to disposal - see Web link provided; you may want to consider submitting smaller phrases in the future...but I am sure the Italian heat is to blame for this also!!

Asker: the reason I submitted such a long phrase was that I was unable to understand it from there, but yes I take your point
