((I don't understand why the shareholder's membership is relevant evidence. The shareholder's membership is probably a matter of general knowledge amoung all shareholders. I would think that the only relevant evidence that the shareholder needs is evidence of registration of the shares.)) 2. indisponibilità finalizzato al recesso = unavailability respecting withdrawal. ((If the shares are restricted as to withdrawal, obviously some condition precedent must occur in order to render them available respecting withdrawal. ditto again - see below Explanation: the details of deposit of the certificate of inclusion in the uncertificated securities centralised management system for the shares for which the shareholder is exercising the withdrawal, [deposited] at a licensed intermediary, subject to a non-disposal restriction for the purpose of withdrawal. I have used the Kudoz entry for 'regime di dematerializzazione' here; the reason why 'deposited' is in hard brackets is that the overall phrase seems to be a regular part of articles of association in Italy and this is what your phrase means, even if not included in the source; I have used the last part of Alison's suggestion as the 'vincolo di indisponibilità' part refers to disposal - see Web link provided; you may want to consider submitting smaller phrases in the future...but I am sure the Italian heat is to blame for this also!! https://www.e-glossa.it/wiki/natura_giuridica_del_vincolo_di_indisponibilit%C3%A0_(cessione_dei_beni_ai_creditori).aspx |
